1. The Offer
1.1 This offer (the "Offer") is made by IDYL INC, operator of idyl.com ("idyl", "we", "us" or "our").
1.2 Under the Offer, eligible members may redeem idyl club loyalty points ("Points") for a one-time promotional reward card (the "Reward Card"). The Reward Card is issued solely as a loyalty and promotional award, is not purchased by the member, and is not a gift card, gift certificate or general-purpose stored-value card. The Reward Card may be used toward eligible purchases on idyl.com, including during the idyl Black Friday 2026 promotion.
1.3 By redeeming Points under the Offer, you acknowledge that you have had the opportunity to review and that you accept these Terms and Conditions (the "Terms"), including the Reward Card's short validity period and Expiry Date.

2. Eligibility
2.1 The Offer is open only to members of the Physician Style Collective - Facebook Group (“PSC”) community (as identified by idyl in its sole discretion) who have reached the age of majority in their state of residence, are legal residents of the fifty (50) United States or the District of Columbia, or Canada and hold an active idyl club account registered under an email address that appears on idyl's PSC member list at the time of conversion ("Eligible Members"). The Offer is void where prohibited or restricted by law.
2.2 The Offer is personal to each Eligible Member. It is limited to one (1) per person, one (1) per idyl club account and one (1) per email address.
2.3 idyl may reasonably verify eligibility at any time and may refuse or cancel any conversion that does not comply with these Terms, subject to applicable law.

3. Conversion of Points and Issuance
3.1 The maximum value of a Reward Card is USD 1,000.00, equal to 100,000 Points. Points above this amount cannot be converted under the Offer.
3.2 Converted Points are deducted from your idyl club balance immediately upon a complete redemption. Except where required by law or expressly provided in these Terms, a completed redemption is final and cannot be reversed, cancelled or changed.
3.3 Any Points remaining after conversion stay in your account and remain subject to the standard idyl club terms.
3.4 Upon a complete redemption, idyl will promptly issue one electronic Reward Card to the email address associated with the Eligible Member’s idyl club account. The issuance email will identify the Reward Card value, issue date, Expiry Date, eligible channel and material restrictions. A Reward Card is not activated until idyl confirms issuance.

4. One-Time Conversion and Use
4.1 Each Eligible Member may convert Points only once under the Offer, even if Points remain in the account after conversion.
4.2 Only one (1) Reward Card will be issued per Eligible Member. A conversion cannot be split across several Reward Cards.

5. Conversion Window and Validity
5.1 Points may be converted only during the conversion period stated in the invitation email and on the Offer page on idyl.com (the "Conversion Window"). The exact start date, end date, times and applicable time zone must be displayed before an Eligible Member redeems Points. Requests made outside the Conversion Window will not be accepted.
5.2 The Reward Card is valid beginning on its date of issue and expires at 11:59 p.m. Eastern Time on the thirtieth (30th) of November (the "Expiry Date"). The exact Expiry Date shown in the issuance email and on the Reward Card controls.
5.3 A Reward Card not used by the Expiry Date expires automatically, and any unused promotional value is forfeited, except where prohibited by applicable law. No refund, compensation or reinstatement of Points will be given except as expressly provided in these Terms or required by law.
5.4 The Expiry Date and the statement “PROMOTIONAL REWARD CARD—NOT A GIFT CARD” must be disclosed clearly and conspicuously before Points are redeemed and in the issuance email and must appear on the front of the Reward Card or other access device, to the extent required by applicable law.

6. Use of the Reward Card
6.1 The Reward Card may be used only on idyl.com, for orders shipped to an address in the fifty (50) United States or the District of Columbia, or Canada, and only by the Eligible Member to whom it was issued. It may not be used at any physical or third-party retail location unless idyl expressly identifies that location as participating in writing.
6.2 As an exception to the standard idyl club terms, the Reward Card may be combined only with the idyl Black Friday 2026 promotion. It applies to the eligible merchandise subtotal after that promotional discount and any other permitted price adjustments.
6.3 Except as expressly stated in Section 6.2, the Reward Card may not be combined or stacked with any other promotion, discount code, coupon, idyl club voucher or Points redemption.
6.4 If the eligible merchandise subtotal exceeds the Reward Card balance, the difference must be paid with an accepted payment method.
6.5 No minimum purchase amount applies, but the order must include eligible Jewelry, as defined hereunder. The Reward Card may not be applied to shipping, handling or taxes. The member remains responsible for all amounts not covered by the Reward Card, and all taxes will be calculated, collected and remitted as required by applicable law.

7. Eligible Products
7.1 The Reward Card may be used only toward jewelry products sold on idyl.com, including earrings, necklaces, bracelets, rings, piercings and charms (collectively, "Jewelry").
7.2 The Reward Card may not be used toward the following, whether purchased alone or together with Jewelry: (a) idyl club goodies and redeemable rewards; (b) accessories, including bags, pouches, care kits, cleaning products and serums; (c) gift cards; (d) donations; (e) services, including styling sessions and jewelry cleaning; and (f) gift wrapping, cards and other add-ons.
7.3 An order that contains no Jewelry is not eligible. If the Reward Card is applied to non-eligible items, idyl may cancel the order and restore the Reward Card balance (subject to its Expiry Date) or remove the non-eligible items and adjust the amount charged accordingly.

8. Returns, Refunds and Exchanges
8.1 The Reward Card has no cash value. Except as expressly provided in these Terms or required by law, Reward Card value and Points redeemed for a Reward Card will not be refunded, reinstated or exchanged for cash, credit or Points.
8.2 If an order is paid in full with the Reward Card, no cash or payment-card refund will be issued for a returned item. Any exchange, replacement or other remedy remains subject to idyl's standard returns policy and applicable law; the promotional amount applied to the returned item will not be reinstated except where required by law.
8.3 If an order is paid partly with the Reward Card and partly with another payment method, any monetary refund is limited to the amount paid with that other payment method. For a partial return, the monetary refund is limited to the portion of that payment attributable to the returned item(s), allocated on a pro rata basis unless applicable law requires otherwise. The Reward Card portion is forfeited and the converted Points are not reinstated, except where required by law.
8.4 For orders using the Reward Card, these Terms prevail over idyl's standard returns policy wherever the two conflict, subject to applicable law.
8.5 Nothing in these Terms limits any non-waivable rights or remedies under applicable U.S. federal, state or local law, including rights relating to defective, damaged or non-conforming goods.
8.6 If a purchase, referral or other activity that generated Points or established eligibility for the Offer is returned, cancelled, reversed, charged back or determined to be ineligible, idyl may deduct the related Points, reduce or cancel an unredeemed Reward Card, or recover promotional value already used, in each case only to the extent reasonably related to the affected transaction and permitted by law. If an order made with a Reward Card is returned or cancelled, Sections 8.1 through 8.5 apply.

9. No Cash Value, Transfer or Replacement
9.1 The Reward Card is limited-use promotional loyalty value issued without payment of money or other consumer funds. It is not a purchased gift card, gift certificate or general-purpose stored-value card. It has no cash value and cannot be redeemed for cash, credit or another gift card, except to the extent cash redemption is required by applicable law.
9.2 The Reward Card is personal to the Eligible Member and non-transferable, except where applicable law prohibits that restriction. It may not be sold, shared, gifted, auctioned or used by any other person.
9.3 You are responsible for keeping your Reward Card details secure. Report a lost, stolen or compromised Reward Card promptly to hello@idyl.com. To the fullest extent permitted by law, idyl is not responsible for unauthorized use and will not replace or restore a lost, stolen or used Reward Card. idyl may, in its discretion and after verifying the Eligible Member and unused balance, cancel and reissue an unused Reward Card; any replacement will retain the original Expiry Date unless applicable law requires otherwise.

10. Points on Reward Card Orders
10.1 No idyl club Points are earned on any portion of an order paid with the Reward Card. Points are earned only on the amount paid with another payment method, in line with the standard idyl club terms.

11. Availability and Pricing
11.1 All purchases are subject to product availability. idyl does not guarantee the availability of any item during the Offer. To the fullest extent permitted by applicable law, the Offer and the Reward Card are provided “as is” without warranty of any kind, whether express or implied.
11.2 idyl may cancel any order affected by an obvious pricing or system error. In that case, the Reward Card balance used on that order will be restored. If the original Expiry Date has passed or fewer than seven (7) days remain when the balance is restored, idyl will provide a replacement validity period of twenty-eight (28) days from restoration, unless prohibited by law.

12. Fraud and Misuse
12.1 idyl may investigate suspected fraud, abuse, manipulation, reselling, unauthorized access, use of multiple accounts or other material breach of these Terms. Where idyl reasonably determines that a violation occurred, it may, to the extent permitted by law and without advance notice where notice would compromise the investigation, reject or void a conversion, cancel or suspend a Reward Card, cancel affected orders, limit future participation or suspend the associated idyl club account. Converted Points will not be reinstated to the extent they were obtained or used through the violation. These remedies are in addition to any rights available under applicable law.

13. Changes to the Offer
13.1 Before a Reward Card is issued, idyl may amend, suspend or end the Offer for reasons beyond its reasonable control, for legal or regulatory reasons, or to prevent fraud or abuse. Material changes will be posted on idyl.com and, where reasonably practicable, communicated directly to affected Eligible Members. Changes will apply prospectively unless applicable law or urgent fraud prevention requires otherwise.
13.2 After a Reward Card is issued, no change will reduce its value, shorten its stated validity period or materially restrict its permitted use, except as required by law or in connection with fraud, abuse, a system error or a member's material breach of these Terms. If idyl cancels an issued Reward Card for another reason, idyl will restore the redeemed Points or provide a reasonably equivalent promotional replacement, subject to applicable law.

14. Limitation of Liability
14.1 To the fullest extent permitted by applicable law, idyl is not liable for any indirect, incidental, special or consequential loss arising from the Offer, including technical failures that prevent conversion or use of the Reward Card. In no event will idyl’s total aggregate liability to any member in connection with the Offer exceed the face value of that member’s Reward Card. Nothing in these Terms excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited.

15. Personal Data
15.1 Personal data used for the Offer is processed in accordance with idyl's Privacy Policy.

16. General
16.1 These Terms supplement the idyl club terms and idyl's Terms and Conditions. In the event of any conflict, these Terms prevail with respect to the Offer.
16.2 If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed, and the remaining provisions will remain in full force and effect.
16.3 These Terms are governed by the laws of the State of Florida (or the state specified in idyl’s Terms and Conditions), without regard to conflict-of-law principles, except that residents of a U.S. state or territory retain the benefit of any non-waivable protections provided by the law of their state or territory of residence.
16.4 The Reward Card is intended to qualify as a loyalty, award or promotional card rather than a purchased gift card or stored-value product. If any applicable federal, state or local law nevertheless treats the Reward Card differently or grants a member additional rights—including restrictions on expiration, required disclosures, transfer rights or cash redemption—those mandatory requirements control, and these Terms will be limited or modified only to the extent necessary to comply.
